These Professional Services Terms and Conditions are incorporated by reference into the Zentarias Technologies LLC Terms of Service. In the event of a conflict between these PS Terms and the TOS or any other agreement between the parties, these PS Terms shall govern.

1. INTRODUCTION

These Professional Services Terms and Conditions ("PS Terms") govern all training, consulting, installation, integration, and other professional services provided by Zentarias Technologies LLC ("Zentarias," "we," "our," or "us") to Customer in connection with the purchase of Hardware or Subscription Services. Professional Services include, without limitation: Installation Services, integration services, custom report development, onboarding and deployment services, and data sharing services (collectively, "Professional Services").

Professional Services may be purchased separately by Customer pursuant to an Order Form, provided at Zentarias's sole discretion, or otherwise mutually agreed upon between the Parties.

2. PROFESSIONAL SERVICES

2.1 Installation Services

Professional Services may include the physical installation of Hardware at Customer's designated location ("Installation Services"). All Installation Services are optional and must be expressly specified in an Order Form or a separate written agreement executed by both Parties. Zentarias offers both a standard package of Installation Services and customized packages designed to meet specific Customer requirements.

2.2 Standard Installation Package

The Standard Installation Package encompasses the following services for initial hardware implementation and installation:

  • Basic project management and coordination throughout the installation process
  • Physical installation and functional verification of Zentarias hardware on Customer's designated vehicles or assets
  • Workmanship associated with Installation Services is warranted for six (6) months from the date of installation

2.2.2 Services Outside Standard Scope

Any modifications to the Installation Services — including changes in the product being installed, installation location, number of units, or extensions of installation time — are subject to additional fees at Zentarias's discretion. Customer agrees to pay a "No Show Fee" in an amount up to the full cost of the applicable installation fee plus any travel expenses incurred by Zentarias if any of the following occur:

  • Customer cancels the scheduled installation or changes the installation location with less than forty-eight (48) hours' advance notice
  • Customer fails to provide the equipment or vehicles required to complete the installation as agreed
  • Customer's vehicle or onboard electronics systems are inoperable at the time of installation (e.g., a dead vehicle battery)
  • The Hardware Installer's wait time at the installation site exceeds thirty (30) minutes due to unavailability or tardiness of Customer's vehicles, equipment, or personnel
  • The Hardware Installer is denied access to or is otherwise unable to access the designated installation site or vehicle
To avoid No Show Fees, please ensure all vehicles, equipment, and personnel are available at the agreed installation location at least 15 minutes before the scheduled appointment. Cancellations or rescheduling requests must be submitted at least 48 hours in advance.

2.3 Customer Self-Installation

Customer may elect to self-install Zentarias Hardware using the step-by-step instructions provided by Zentarias. If Customer chooses this option, Zentarias will assign a dedicated product manager to collaborate with Customer in planning and executing the self-installation process (only applicable for Enterprise plan). Self-installation instructions are available through the Zentarias YouTube channel and device installation instruction manual.

3. IMPLEMENTATION SERVICES

Zentarias provides the following onboarding and implementation services to help Customer successfully deploy the platform and maximize its operational value.

3.1 Standard Implementation Package

The Standard Implementation Package is included in the cost of Customer's initial Subscription Plan purchase and encompasses the following services:

Standard Implementation Services are provided as part of the initial Subscription Plan at no additional cost. Zentarias's implementation team will contact Customer within five (5) business days of subscription activation to schedule the onboarding kickoff session.

3.2 On-Site Implementation Services

In addition to the Standard Implementation Package, Zentarias offers On-Site Implementation Services for Customers who require a more hands-on, personalized deployment experience. Available for an additional fee. This enhanced package includes all Standard services, plus:

4. WARRANTY AND DISCLAIMER

4.1 Workmanship Warranty — Installation Services

Zentarias warrants that all Professional Services will be performed in a good, professional, and workmanlike manner, consistent with industry standards. With respect to Installation Services, workmanship is warranted for a period of six (6) months from the date of installation. Installation defects that materially affect the performance of the Hardware or supplied accessories, and that are reported to Zentarias in writing within this warranty period, will be addressed through one of the following remedies: (i) rectification of the defect at no additional cost; (ii) resupply of the affected Hardware or accessory; or (iii) a refund of the purchase price of the applicable Installation Services.

4.2 Workmanship Warranty — Other Professional Services

For all Professional Services other than Installation Services, Zentarias warrants workmanship quality for a period of thirty (30) days from the date of completion of the applicable service. This warranty does not apply to damages caused by external conditions beyond Zentarias's control, including vehicle electrical disturbances, acts of God, natural disasters, or criminal activity, or by inaccurate information provided by Customer.

4.3 Disclaimer of Additional Warranties

THE WARRANTIES SET FORTH IN SECTIONS 4.1 AND 4.2 ABOVE CONSTITUTE ZENTARIAS'S SOLE AND EXCLUSIVE EXPRESS WARRANTIES WITH RESPECT TO THE PROFESSIONAL SERVICES AND ARE MADE EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, INFORMATIONAL CONTENT, SYSTEMS INTEGRATION, NON-INFRINGEMENT, OR QUIET ENJOYMENT.

If you believe a Professional Service has been delivered with a workmanship defect, please submit a written report to legal@zentarias.com within the applicable warranty period. Include a description of the defect, the affected Hardware or service, and relevant supporting documentation.

5. SUBCONTRACTING

Zentarias reserves the right to engage authorized third-party service providers to perform any or all Professional Services on its behalf. Zentarias will remain responsible for coordinating, overseeing, and facilitating Customer's working relationship with such providers throughout the engagement.

Zentarias represents and warrants that any subcontractor engaged to perform Professional Services shall comply with all applicable requirements set forth herein, including workmanship standards, confidentiality obligations, and all applicable data protection requirements. Zentarias shall remain liable to Customer for the performance of any Professional Services delivered by authorized subcontractors as if such services were delivered directly by Zentarias.
