CANCELLATION POLICY
Preamble
This Cancellation Policy ("Policy") establishes the terms and conditions under which customers of Zentarias Technologies LLC ("Zentarias," "we," "our," or "us") may cancel or terminate their subscriptions to the Zentarias fleet management platform and related services. This Policy also governs the handling of refunds, automatic renewals, hardware device deposits, and the return of hardware upon termination of services.
By subscribing to or using the Zentarias Services, Customer agrees to be bound by this Policy, which is incorporated by reference into and forms an integral part of the Zentarias Terms of Service. In the event of any conflict between this Policy and the Terms of Service, the Terms of Service shall control.
1. CANCELLATIONS, REFUNDS, AND RENEWALS
1.1 Non-Refundable Fees
Except as expressly agreed otherwise in a separate written instrument signed by authorized representatives of both Parties, or as explicitly set forth in the Zentarias Terms of Service, all fees paid to Zentarias for the Services are non-refundable. This includes, without limitation, subscription fees, onboarding fees, professional services fees, and any other charges invoiced or collected by Zentarias in connection with the Services. If you believe you are entitled to a refund under the Terms of Service, please contact legal@zentarias.com with your account details and the basis for your refund request.
1.2 Early Termination and Cancellation Fees
If Customer cancels or terminates its subscription at any point prior to the expiration of the then-current Subscription Term — for example, if Customer subscribes to an annual (12-month) plan and elects to cancel after six (6) months — Zentarias reserves the right to immediately charge Customer's credit card, debit card, bank account, or any other payment method on file for all remaining fees owed for the balance of the applicable Subscription Term. Early termination fees represent the full value of the remaining subscription payments and are not subject to set-off, discount, or waiver, except as otherwise agreed in writing.
1.3 Automatic Renewal
Unless the applicable Order Form expressly provides otherwise, all Zentarias subscriptions will automatically renew at the conclusion of the then-current Subscription Term:
- Annual (or longer) subscriptions will renew for successive twelve (12)-month periods at the renewal rate in effect at the time of renewal, as specified in the applicable Order Form.
- Monthly subscriptions will renew for successive one (1)-month periods at the rate in effect at the time of renewal. Payment terms are month in advance.
Upon automatic renewal, payment will be processed using the default payment method on file. It is Customer's responsibility to ensure that its payment information is current and accurate at all times.
1.4 Cancellation Before Automatic Renewal
Customers who wish to prevent automatic renewal must submit a cancellation request prior to the renewal date. Cancellation requests must be received by Zentarias no later than thirty (30) days before the scheduled renewal date to be effective for that renewal period. Contact the Zentarias billing team in writing at facturacion@zentarias.com or through the cancellation process in Customer's account portal.
2. HARDWARE DEVICES: DEPOSIT, RETURNS, AND FEES
2.1 Device Pricing, Deposit, and Cost Structure
Zentarias Technologies LLC provides hardware devices (GPS trackers, telematics units, and related equipment) to Customers as part of the Services package. These devices are made available at no direct purchase cost to the Customer; Zentarias retains ownership of all hardware devices at all times unless otherwise agreed in writing. Zentarias requires a hardware deposit of twenty percent (20%) of the total commercial value of all devices installed in Customer's fleet, collected at the time the initial service invoice is generated. The deposit will be applied as a credit against Customer's final invoice or refunded to Customer within fifteen (15) business days following the confirmed return of all devices in good working condition.
2.2 Return of Devices Upon Cancellation or Termination
Upon the cancellation or termination of Services for any reason, Customer is required to return all hardware devices provided by Zentarias within thirty (30) calendar days from the effective date of termination or cancellation (the "Return Deadline"). Devices must be returned in their original or equivalent working condition, free of physical damage, unauthorized modifications, or signs of misuse. In cases where Customer may otherwise be entitled to a refund, such refund will not be processed until all hardware devices have been received and inspected by Zentarias.
2.3 Device Exchanges
If Customer requests or requires an exchange of one or more hardware devices for replacement units — for any reason, including malfunction, upgrade, or compatibility — Customer must return the original devices to Zentarias within thirty (30) calendar days of receiving the replacement units. Exchange requests should be submitted through the Zentarias support portal or by contacting soporte@zentarias.com.
2.4 Fees for Unreturned or Damaged Devices
If Customer fails to return hardware devices within the applicable return window, or returns devices in a damaged, altered, or non-functional state (beyond normal wear and tear), Zentarias may charge Customer the full commercial replacement value of each unreturned or damaged device ("Device Replacement Fee"). Device Replacement Fees are due and payable within fifteen (15) days of the invoice date. Amounts not paid within this period may accrue interest at the rate set forth in the Zentarias Terms of Service.
