This Biometric Services Addendum ("Addendum") forms an integral part of and is incorporated by reference into the Zentarias Technologies LLC Terms of Service. It applies exclusively to Customers who elect to use Biometric Services as part of the Zentarias platform.
IMPORTANT: The collection and use of biometric data is subject to strict federal, state, and local regulations in the United States. Customer is solely responsible for ensuring compliance with all applicable Biometric Laws before activating or using any Biometric Services. Failure to comply may result in immediate suspension or termination of Biometric Services access.

Preamble

Zentarias Technologies LLC ("Zentarias") offers certain features and capabilities within its fleet management platform that involve the collection, processing, or use of biometric data — such as facial recognition or identity-matching technology — to support driver verification, safety monitoring, and related operational functions (collectively, the "Biometric Services").

Because the collection and processing of biometric data is subject to a complex and evolving body of federal, state, and local law in the United States — including laws that impose strict consent, notice, retention, and destruction requirements — this Addendum establishes the specific terms and conditions that govern Customer's use of Biometric Services and the obligations Customer must fulfill to ensure lawful and responsible use of such capabilities.

This Addendum supplements and is incorporated into the Zentarias Agreement. In the event of a conflict between this Addendum and the Agreement, this Addendum shall control with respect to matters relating to Biometric Services. Customer's activation or use of any Biometric Service constitutes acceptance of all terms set forth herein.

1. ADDITIONAL DEFINITIONS

The following definitions apply specifically to this Addendum and supplement the definitions set forth in the Agreement:

Authorized Persons
Customer, Zentarias Technologies LLC, Amazon Web Services (as Zentarias's cloud infrastructure provider), and each of their respective independent contractors, agents, and vendors that may require access to Biometric Data solely for the purpose of delivering the Services, including the Biometric Services.
Biometric Data
Data generated by the automatic measurement of an individual's biological or physiological characteristics that are used to identify a specific individual. Biometric Data includes, without limitation, scans of face geometry, hand geometry, retina or iris patterns, fingerprints, and voiceprints, or any other biological identifier used for identification purposes.
Biometric Laws
All applicable federal, state, and local statutes, regulations, rules, and orders that govern, restrict, or otherwise regulate the collection, capture, purchase, receipt, possession, disclosure, dissemination, use, storage, sale, lease, trade, transmission, retention, protection, and processing of Biometric Data. Biometric Laws include, without limitation, the Illinois Biometric Information Privacy Act (BIPA), 740 ILCS 14/1 et seq., and any similar laws enacted or effective in any jurisdiction in which Customer operates.
Biometric Services
Any feature, capability, or component of the Zentarias platform that involves, implicates, or relies upon the collection, processing, analysis, or use of Biometric Data in order to deliver the Services, including but not limited to facial recognition, driver identity verification, and presence detection functionalities.
Biometric User
Any End User, employee, or independent contractor of Customer who is requested or required by Customer to use the Biometric Services, as well as any other individual who uses the Biometric Services or is present within a vehicle in which the Biometric Services are active and operational.

2. ADDITIONAL TERMS GOVERNING BIOMETRIC DATA

Because the Biometric Laws may apply to Customer's use of Biometric Services, and to the extent Customer elects to activate or use Biometric Services as part of the Zentarias platform, Customer agrees to comply fully with all applicable Biometric Laws and with the terms set forth in this Section 2.

2.1 Biometric User Notice and Consent

Prior to activating Biometric Services with respect to any Biometric User, Customer shall provide clear, conspicuous, and legally sufficient written notice to each Biometric User and shall obtain, document, and retain appropriate consents and/or releases as required by all applicable Biometric Laws. At a minimum, each notice must inform the Biometric User in writing that their Biometric Data is being collected, state the specific purpose and the retention period, and obtain a signed written authorization expressly permitting the Authorized Persons to collect, store, use, share, and disclose that Biometric User's Biometric Data.

2.2 Biometric Information Policy

Customer shall implement, maintain, and adhere to a written Biometric Information Policy that governs its practices with respect to the collection, capture, receipt, possession, disclosure, dissemination, use, storage, retention, protection, and destruction of Biometric Data. This policy must include a clear retention schedule and specific guidelines for the permanent and irreversible destruction of Biometric Data upon the satisfaction of the retention period or the occurrence of any other triggering event required by applicable Biometric Laws.

2.3 Storage, Transmission, and Protection of Biometric Data

To the extent Customer comes into possession of Biometric Data through its use of the Biometric Services, Customer agrees to store, transmit, and protect such Biometric Data using a reasonable standard of care that is consistent with the requirements of applicable Biometric Laws. Customer shall not share, transfer, disclose, or otherwise make available any Biometric Data to any person or entity other than Authorized Persons, except to the extent expressly authorized by applicable Biometric Laws or by the written consent of the applicable Biometric User.

2.4 Retention and Destruction of Biometric Data

Customer is responsible for ensuring that all Biometric Data is retained and purged in a manner consistent with the requirements of applicable Biometric Laws. Customer shall provide Zentarias with timely written notification upon the termination of a Biometric User's employment, the satisfaction of the purpose for which their Biometric Data was collected, or any other event that triggers the obligation to destroy the Biometric User's Biometric Data. Notifications should be submitted to legal@zentarias.com with the subject line: "Biometric User Offboarding – [Account Name]."

3. THIRD-PARTY BENEFICIARIES

Notwithstanding anything to the contrary in the Agreement or this Addendum, Customer expressly agrees that the Authorized Persons — and each of their respective successors and permitted assigns — are intended third-party beneficiaries of this Addendum. As such, each Authorized Person shall have the independent right to enforce the terms of this Addendum directly against Customer and shall be entitled to seek indemnification from Customer pursuant to Section 5 of this Addendum for any breach of the terms hereof.

This means that Zentarias's cloud infrastructure providers and other Authorized Persons may independently enforce Customer's obligations under this Addendum if Customer fails to comply with applicable Biometric Laws or the terms herein.

4. ADDITIONAL TERMINATION PROVISIONS FOR BIOMETRIC SERVICES

If Zentarias determines, in its sole and reasonable discretion, that Customer has failed or is failing to comply with any applicable law or regulation governing the Biometric Services — including, without limitation, any applicable Biometric Laws or the terms of this Addendum — Zentarias reserves the right to immediately and without prior notice suspend or permanently terminate Customer's access to and use of the Biometric Services.

Non-compliance with Biometric Laws — including BIPA and any applicable state equivalents — can expose Customer to significant statutory damages and class action liability. Zentarias strongly encourages Customers to consult with qualified legal counsel before activating any Biometric Services and to maintain ongoing compliance monitoring.

5. ADDITIONAL INDEMNIFICATION

In addition to any indemnification obligations set forth in the Agreement, Customer shall indemnify, defend, and hold harmless Zentarias Technologies LLC, all other Authorized Persons, and each of their respective affiliates, officers, directors, shareholders, employees, contractors, and agents from and against any and all third-party claims, causes of action, liabilities, damages, losses, costs, and expenses arising out of or related to:

  • Customer's failure to provide adequate notice to Biometric Users as required by applicable Biometric Laws or this Addendum
  • Customer's failure to obtain, document, or retain legally sufficient consents or releases from Biometric Users
  • Customer's failure to implement, maintain, or adhere to a compliant Biometric Information Policy
  • Customer's unauthorized disclosure, sharing, or transfer of Biometric Data to any party not authorized under this Addendum
  • Customer's failure to timely notify Zentarias of Biometric User offboarding events, resulting in retention of Biometric Data beyond the permissible period
  • Any other breach by Customer of its obligations under this Addendum or applicable Biometric Laws
